Introduction

These Terms & Conditions ("Terms") govern your access to and use of the InnSight AI marketing website at innsightai.org and any related sub-domains we operate (collectively, the "Site"). Access to and use of the InnSight AI hotel revenue management platform (the "Platform") is governed by a separate written subscription agreement between InnSight AI, Inc. and the subscribing customer; in the event of any conflict between these Terms and that agreement, the subscription agreement controls for Platform use.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

About us

InnSight AI, Inc. is a corporation formed in the State of Delaware and operating from the State of Texas, United States. References in these Terms to "we," "us," or "our" mean InnSight AI, Inc.

Eligibility

The Site is intended for hotel professionals, owners, asset managers, management-company personnel, and partners interested in the InnSight AI Platform. By using the Site you represent that you are at least 18 years old and able to form a binding contract.

Site content and intellectual property

The Site, including its text, graphics, layout, source code, trademarks, logos, illustrations, screenshots, and any sample reports, is owned by InnSight AI or our licensors and is protected by U.S. and international intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works of any content on the Site without our prior written consent.

"InnSight AI," the InnSight AI logo, and related brand elements are trademarks of InnSight AI, Inc. Third-party trademarks shown on the Site (for example, Mews, Cloudbeds, Opera, Stayntouch, RoomRaccoon, STR/STAR, Lighthouse, OTA-Insight, Expedia, Booking.com, Hilton, Marriott, IHG, Hyatt, Wyndham, Choice, Sonesta) are the property of their respective owners and are used solely for descriptive, integration, and comparative purposes. Their inclusion does not imply endorsement or affiliation.

Permitted use

You may view, navigate, and print pages of the Site for your internal evaluation, education, and information purposes. Any other use, including but not limited to commercial use, large-scale extraction, framing, mirroring, or use of automated systems beyond standard, well-behaved web crawlers, requires our prior written permission.

Acceptable use

When using the Site, you agree not to:

• attempt to gain unauthorized access to any portion of the Site or any related systems or networks;
• introduce viruses, worms, or other malicious code;
• probe, scan, or test the vulnerability of any system without our prior written permission;
• interfere with the proper working of the Site, including overloading or attempting denial-of-service;
• misrepresent your identity or affiliation;
• use the Site in any unlawful manner or in violation of any applicable law or regulation.

Forms and submissions

When you submit information through a form on the Site (for example, a demo request), you agree to provide accurate and current information. We will handle the information in accordance with our Privacy Policy. You acknowledge that responses to demo requests are conducted by sales personnel and that nothing on the Site constitutes a binding offer to provide services; use of the Platform requires a separately signed subscription agreement.

Third-party links and integrations

The Site may contain links to third-party websites, services, and integration partners. These links are provided for convenience and do not constitute endorsement. We are not responsible for the content, terms, or practices of any third party. Your interactions with third parties are governed by their own terms and privacy policies.

Forward-looking statements

Certain statements on the Site — including roadmap commentary, planned modules, planned integrations, and product strategy — are forward-looking and reflect current expectations. Actual results, features, and timing may differ. Nothing on the Site constitutes a commitment to deliver any particular feature, integration, or capability by any particular date.

Disclaimers

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, INNSIGHT AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT THE INFORMATION ON THE SITE IS COMPLETE, ACCURATE, OR CURRENT.

Sample data, sample reports, and any modeled outputs shown on the Site are for illustrative purposes only and should not be relied upon for revenue or business decisions.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL INNSIGHT AI, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless InnSight AI, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.

Governing law and venue

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. The state and federal courts located in Travis County, Texas, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Site, and you consent to personal jurisdiction in those courts.

Changes to the Site and to these Terms

We may modify the Site or these Terms at any time. If we make material changes to these Terms, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms.

Severability and waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
